Welcome to the LingoZ Site (the "Site") a service operated by Babylon Ltd. ("Babylon" or "we", "us"). By using the Site and the different services offered thereby, you signify your irrevocable acceptance of these Terms of Service.
Definition of the Services
LingoZ Site offers you several services as described hereinafter. Such services shall be referred herein as the "Services".
Please note that some of the Services will be launched gradually, we will indicate below which of the services are soon to come.
- The site consists of variety of services, including: A multi-source, multi-lingual dictionary search service where you may look for a definition or translation of a term or a phrase. Our Site also allows you to create your own definitions or translation for existing or new terms or phrases and submit them for publication.
- The Site provides a venue where a user may offer or seek expert assistance for hire, subject to the payment of a fee. The paid-for expert assistance service is provided in cooperation with Kasamba and through the Kasamba service (Kasamba is a LivePerson Inc. Company).
- The site also offers a Glossaries section designed to allow the user to create a list of definitions for terms or phrases that has a common ground such as: the Glossary for 18th century European dressing terms. The glossary creator may assign any definition on the site not only those that he has contributed.
- You may post reviews and comments, regarding any content submitted on the Site; send messages to other users on the service through an internal messaging system; and submit suggestions, ideas, comments, questions, or other information, which will appear on the Site in association with the Content.
- In addition the site allows you to vote in order to indicate your opinion of the content quality and whether you find it useful or not.
Content (as defined below) that does not fulfill any of the abovementioned purposes, is not allowed and may be removed.
In these Terms of Service, "Content" shall have the following meaning - materials and/or information posted by a user through the Site, whether as a term, a phrase, a definition, a comment or a message on the internal messaging system in the course of the use of the Services.
To contribute Content to the service, you must be logged in with a valid user account.
You are not required to be logged in to view the Content on the Site and in order to do specific and limited actions (such as: vote) as we may allow from time to time.
The Site and/or the Services may be used as a platform for communication, correspondence or discussions only on Content related issues.
The Site and/or the Service may not be used as a platform for commercial, advertising or marketing purposes. Any Content of commercial or marketing character other than those specifically allowed hereunder, shall be immediately removed.
Should you wish to offer your expert services to other users, you may do it only on designated places in the Site.
You may indicate your site/blog address on your personal account and within the description of glossaries you created and on the internal messaging system available under your personal profile.
The features and functionality of the Site and the Service are determined by Babylon only and may be subject to modifications, as Babylon deems fit, under its sole discretion.
Content features
In these Terms of Service, "Term" shall mean– a lexical word or a phrase.
When you add a new Term or report a missing Term please make sure the content entered in the designated form is limited to the Term itself, the definition for the Term or any associated comment should be placed in the designated places only.
Definition should be a definition or a translation for a Term. Content entered on the "Define" form should be an honest attempt to provide a definition or a translation to the respective Term or Phrase.
Glossary should be a list of Terms with a meaningful common basis. The glossary description entered on the "Create Glossary" page should explain what the glossary is about and what is the common theme shared by all its attached terms.
Each Term, Definition and Glossary should be categorized into the Site predefined categories and languages. Please make sure you categorize the items you contribute in the relevant category and language, in order to allow us expose it to the relevant users who indicated their interest in such categories and that indicated they understand the relevant languages. If you think the proposed categories do not provide an accurate category for the content you have contributed, please categorize your content item to the most relevant category and contact us through the "Contact Us" form, to suggest the category you believe is missing.
Please note that Content that was not categorized correctly may be removed without prior notice.
Each Definition and Glossary may be voted for by you as an indication of whether you find it useful or not. You should use the voting system solely for the purpose of reflecting your true opinion of the content usefulness, regardless of who is the user who contributed it.
The source of each entry is indicated near the respective entry. Each Content item you have contributed will include a referral to you as a contributor.
Please be aware that the Content published on our Site may not be suitable for all audiences. If you feel that any of the Content is inappropriate or is offensive to you, do not use or visit the site. If you consider that any of the Content is inappropriate or is offensive to members of your family, do not permit them to use or visit the site.
Please be aware that our Site may publish adult content. If you wish to view it, you have to specify it in your profile settings, by checking the designated check box under your account profile. If you wish to submit content which is adult content, you should categorize it under the Adult category which will be available to you only if your have checked the Adult box under your profile.
The Site makes available a 'Report a Problem' option, designated to allow you report problems such as mistakes, abuse or violations of these Terms or mistakes. For Content that does not violate these Terms of Use and are not mistaken, but you still want to post a response related to such Content, you may use the Comments field associated to the Content to state your opinion.
Ownership
You will continue to own all the rights you may have with respect to your content. This means that your rights concerning the Content you have contributed to us will not be claimed by Babylon as the property of Babylon.
Grant of License
If you do post Content on our Site, you grant Babylon a non-exclusive, perpetual, royalty-free, irrevocable and fully sub-licensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display the Content posted (in whole or in part) and to incorporate Content into other works in any format or medium now known or later developed either paid for or free. Please be aware that once you submitted your Content item on the Site, Babylon has entire discretion as to its use, and we may remove it or use it on the Site, for other applications and\or on other sites, services and/or products of Babylon and/or its affiliates, and we will require that any use of the content will include a credit to you as the a contributor.
You may remove or modify the Content you posted on the Site, nonetheless, in the event such Content was used, as stated hereinabove, it will not necessarily be removed or include the modifications made by you thereto.
Offering services for hire
Any LingoZ user can become an expert and offer paid-for expert advice to other LingoZ users.
You can apply to become an expert who provide paid-for advise, and, upon approval, start offering an expert assistance for hire to the LingoZ community.
A 'Hire me' link will be added to your LingoZ profile so that any user on LingoZ will be able to contact you in order to hire your expert assistance.
LingoZ has partnered with Kasamba, a world leading provider of online expert advice services. Kasamba will provide you with all the tools you need to start giving advice online, including a virtual office on Kasamba website, LIVE chat software, and access to thousands of clients who are looking for online experts.
All payments will be made through Kasamba service and subject to Kasamba Terms of Use, available at www.kasamba.com.
Responsibility
Babylon does not claim ownership of the Content or any other information you post or otherwise provide. You are entirely and solely responsible for the Content that you make available via the Service. Furthermore, you are solely responsible for ensuring that any material or information you post on or through the Service, do not violate the copyright, trademark, trade secret, or any other personal or proprietary rights of any third party or that it is posted with the permission of the owner(s) of such rights.
We strongly recommend to our users not to share information that others could use to harm them, such as private or sensitive information (such as: bank accounts, physical address, phone numbers, etc.).
We also strongly recommend to parents to be aware of, and exercise control over possible use of the Services by their children, given that such use is strictly forbidden.
The decision to view or engage any Content through the Service is entirely yours and we strongly advise you to use your judgment before that.
User Conduct
You are strictly forbidden from posting any Content which you know to be false, inaccurate, misleading, defamatory, or libelous.
You hereby declare that you did not infringe any law or any third party's rights in order to provide the Content.
It is Babylon’s policy, at its sole discretion, to remove or disable access, to any material claimed or reported as violating these Terms of Service or claimed or reported for being offensive, inappropriate, illegal, or violate the rights of, harm, or threaten the safety of other users of the Service.
By using our Services, you acknowledge that the Site does not moderate content as a means to ensure quality, accuracy, decency, legitimacy or any other minimal level. You further agree that you will appropriately evaluate and accept all risks associated with the use of any content, including critical analysis of the accuracy, completeness, or usefulness of such content.
You MAY NOT include in the Content any contact information, except in the designated spots on the Site, as will be made available from time to time.
You may use the content to indicate your site/blog address on your personal account and within the description of glossaries you created and on the internal messaging system available under your personal profile.
The voting system MAY NOT be used as a mean to support or weaken a specific user or group of users on the service, you should only use the voting system as mean to reflect your true assessment of the said content usefulness regardless of who is the user who contributed it. You should refrain from coordinating your voting with other users or from participating in any manipulation of the voting system as part of an attempt to influence users' ranking n the service.
You may not use the Services features and functionality for other purposes that stated in these Terms of Service.
Babylon reserves the right to review from time to time, and remove any Content that Babylon deems, under Babylon's sole discretion, to violate these Terms or which might be offensive, inappropriate, illegal, or violate the rights of, harm, or threaten the safety of other Users of the Service.
Babylon is not obligated to send users a warning before removing any Content from the Site.
Babylon is not responsible for loss of, access to, or deletion of any Content posted on the Site.
You are not allowed to open more than one account.
Babylon may terminate the access of users who have not complied with these Terms of Service.
Visibility

Not Professional Advice
Unless specifically stated so, the Content is not intended to be a substitute for informed professional advice in fields which are commonly practiced as a profession and/or require professional skills such as but not limited to: Translation, Medical, Psychiatric, Psychological, Legal, Accounting, Tax or any other professional field. Any type of Content submitted to the site should be assumed general information and not requesting or providing professional advice from us or from any of the service users.
Accounts and Security
By submitting the account registration form, you warrant and declare the following:
- You are at least 18 years of age or a legally organized entity, that you are authorized to represent the person or entity that is submitting an account registration, and that you are authorized to sign the registration form on its behalf and bind it;
- The information furnished in the registration form is accurate, true and complete, and that you will maintain and update such information during the term of these Terms of Service so that it will remain true, accurate, current and complete. Failure to do so shall constitute a breach of this Terms of Service, which may result in immediate termination of your Account or in the removal of the content.
- As part of the registration process, you will open an account and select a password ("Password") and a user name ("User Name"). You may not (1) select or use a User Name of another person with the intent to impersonate that person; (2) use a name subject to the rights of any other person without authorization; (3) use a User Name that Babylon, in its sole discretion, deems inappropriate or offensive.
Babylon may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the terms of use; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Babylon, its users and the public.
Anti-SPAM Policy
We do not and will not tolerate submission of unsolicited messages in our internal messaging service and will reserve the right to prosecute all offenders to the fullest extent of the law.
You shall not undertake any spamming referring to the Site, or using any Content.
You shall not refer to the Site, or use any Content in any unsolicited commercial email (UCE), postings to newsgroups or in cross-posting to multiple newsgroups at once, without Babylon’s advance written permission, which may be withheld at Babylon’s discretion.
Disclaimers
Content, whether publicly or privately transmitted, is the sole responsibility of the person from whom such Content originated. Under no circumstances will Babylon be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content made available via the Service.
Babylon does not control the Content and, does not guarantee the accuracy, integrity or quality of such Content.
Babylon makes no representation or warranty whatsoever that a user requesting an answer or a definition will be provided with information and if provided that it will be adequate and right information.
The Service is provided by Babylon "as is" and Babylon expressly disclaims any warranty, regarding the Service and the Site, including any implied warranty of merchant fitness for a particular purpose.
Babylon makes no representation or warranty whatsoever as to the willingness or ability of any user to provide services-for-hire, or that a user seeking such services shall find them satisfactory. Babylon shall not be involved in such interaction, and does not control the quality or the relevance of such paid-for services.
Babylon does not warrant that the functions contained in the Service will be free from bias, detests, errors, or eavesdropping nor will be uninterrupted or error-free.
Our Site and/or Service should not be used for mission critical needs.
You understand that by using the Services, you may be exposed to Content that is offensive, indecent or objectionable.
You understand that the technical processing and transmission of the Services, including your Content, may involve transmissions over various networks.
Indemnification
You agree to defend, indemnify and hold harmless Babylon and its employees, directors, representatives, agents, and affiliates (collectively, “Indemnified Parties”), against any and all claims, suits, actions, or other proceedings brought against Babylon based on or arising from any claim resulting from your breach of the warranties and covenants in these Terms. You agree to pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by the Indemnified Party in connection with or arising from any such claim, suit, action or proceeding.
Modifications to these Terms of Service
Babylon reserves the right to amend, change these Terms of Service at any time without notice, and encourages you to periodically review them to ensure you are in compliance therewith.
Modification and Termination of the Service
Babylon reserves the right to change, modify, suspend or discontinue temporarily or permanently any portion of the Services and/or Site at any time, with or without notifying its users. You hereby agree that Babylon shall not be liable to you or to any third party for any such modification or discontinuance, or for any losses or damages that may result from such modification or discontinuance.
Furthermore, you agree that Babylon may block, remove, discard and/or suspend any content or user account without notice or liability, for any reason if Babylon believes that you have violated or acted inconsistently with these Terms of Service.
A Notice regarding Privacy
Babylon does not give, sell, rent, share, or trade any identifiable personal information regarding our Users to any third party. Babylon may share non-personal aggregate or summary information regarding its Users with partners or other third parties. We can - and you authorize us to - disclose personal information to local, state, or federal law enforcement officials when required to do so by public authorities or when we believe in good faith that the law requires such disclosure. You acknowledge and agree that Babylon may process information gathered from different Users visiting the Website or using or downloading material from the Service for the purpose of building a profile of User interests and activities. Based on this profile, Babylon may send you advertisements, offers and content, and provide you with the full benefits of the Service.
